2. PURPOSE AND SCOPE OF THE ROLE
Scope
Manages the corporate and domiciliation administration of a dedicated portfolio of funds and companies, with autonomy and escalation to the Head of Domiciliation where required.
Corporate Administration and Domiciliation Services
• Manage correspondence, corporate files, registers, statutory records and originals.
• Organise Board and general meetings, including notices, packs, attendance support, minutes and circular resolutions.
• Monitor deadlines, signatures, filings, publications and open points.
Audit Support and Stakeholder Interaction
• Act as contact point for auditors on legal and corporate documentation.
• Coordinate audit-related signatures and documentation.
• Liaise with clients, governing bodies, Fund Accounting, TA, Compliance, Legal, auditors, notaries and service providers.
Extraordinary Corporate Events
• Prepare/review documents for capital changes, liquidations, registered office transfers, amendments and governing body changes.
• Coordinate with notaries, administrations, authorities, auditors and clients.
• Ensure proper filing/publication with RCSL and/or RESA where required.
Senior Contribution and Quality Control
• Review quality, consistency and completeness of key corporate documents where appropriate.
• Support less experienced colleagues and contribute to procedures, templates and filing practices.
Additional activities and responsibilities may be assigned to the holder of the position.
3. PROFILE
Education & Qualifications
• Bachelor's degree in law, business administration, finance or equivalent experience.
Experience
• Minimum 5 years in corporate, domiciliation, fund administration or legal/corporate services.
4. REQUIRED SKILLS FOR THE ROLE
Technical Skills
• Good knowledge of Luxembourg fund and corporate services, corporate governance and RCSL/RESA requirements.
• Ability to draft and review minutes, circular resolutions, notices and correspondence.
• Proficient use of Microsoft Office and document management tools.
Behavioral Skills
• Organisation, prioritisation, rigor and attention to detail.
• Autonomy, proactivity, ownership of files and solution-driven communication.
• Ability to anticipate risks, deadlines and operational constraints.
Language Skills
Fluency in French and English. Any additional language is an asset.
